It is worth noting that sovereign immunity is a concept that not all attorneys are familiar with, perhaps because some law schools do not spend much time on the issue. Before we get to the contract-language items, we will briefly discuss contract-management software. CONTRACT-MANAGEMENT SOFTWARE Numerous contract-management software options are available. An in- depth focus on contract-management software exceeds the scope of this book, but we will briefly discuss some points your organization might con- sider when evaluating contract-management software options. A contract-management software solution platform serves to allow your organization to track its contracts as they move throughout the drafting and review stages. Additionally, the software can store its contracts and support- ing documents for future reference. Choosing a contract-management soft- ware solution that fits your organization is important, and because every organization is unique, you should consider asking several questions as you explore the various software programs that exist. We recommend asking and considering the following: • Will the software integrate with your other existing software systems, especially your organization’s enterprise resource planning (ERP) software? ¡ If so, how long will integration take? ¡ How will integration occur? ¡ How much manual effort will be required to maintain the data feeds and other system-to-system connections? • Will your organization transfer previous contract-management records to the new contract-management software? ¡ What records will you be able to transfer? ¡ How long will you have access to the previous system? ¡ Will all data (including workflow history, etc.) transfer over? • Which system will be the “system of record” for contracts: the contract- management system, your organization’s ERP system, or another system? • Where is the data stored? Who has access to the data? • Will your organization have access to the data if it changes to a different contract-management system? • How much customizing will your organization need to do with the software?
